If you are registering on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Acceptable Use Policy

4.2 Prohibited Activities

You agree NOT to:

4.3 AI-Specific Restrictions

When using AI features, you must not:

  • Attempt to extract, reverse engineer, or replicate our AI models
  • Use outputs to train competing AI systems
  • Deliberately provide inputs designed to produce harmful or unsafe outputs
  • Use the Services to make high-stakes decisions without human review (e.g., medical diagnosis, legal judgments, hiring decisions)

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Services, including all content, features, functionality, software, and technology, are owned by AAI Solutions and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes, subject to these Terms.

5.2 User Content

You retain ownership of any data, information, or content you submit to the Services (“User Content”). By submitting User Content, you grant AAI Solutions a worldwide, non-exclusive, royalty-free license to use, process, store, and analyze your User Content solely to:

  • Enforce these Terms

We do not use your User Content to train our foundational AI models or share it with third parties for their own purposes, except as described in our Privacy Policy.

5.3 AI-Generated Outputs

Subject to your compliance with these Terms and payment of applicable fees:

  • You own the outputs generated by our AI Services based on your inputs
  • We retain ownership of the underlying AI models, algorithms, and technology
  • You may not use outputs in ways that violate these Terms or applicable law

5.4 Feedback

If you provide feedback, suggestions, or ideas about the Services, we may use them without any obligation to compensate you.

6. Data Privacy and Security

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Payment Terms

7.2 Subscription and Renewal

7.4 Price Changes

We reserve the right to modify our pricing with at least 30 days’ notice. Continued use after the effective date constitutes acceptance of new pricing.

8. Service Availability and Modifications

We strive to provide reliable Services but do not guarantee uninterrupted or error-free access. We may:

  • Modify, suspend, or discontinue any feature or functionality

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Services will be uninterrupted, secure, or error-free
  • AI outputs will be accurate, complete, or reliable
  • Any defects will be corrected
  • The Services will meet your specific requirements

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

AAI SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Services
  • Any conduct or content of third parties on the Services
  • Unauthorized access, use, or alteration of your transmissions or content
  • AI-generated errors, inaccuracies, or outputs
  • Any reliance on AI-generated content

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless AAI Solutions, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Your User Content
  • Your use of AI-generated outputs

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us at [email protected] or through your account settings.

11.2 Termination by Us

We may suspend or terminate your access to the Services immediately, without prior notice, if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activities
  • Fail to pay applicable fees
  • Pose a security or legal risk

11.3 Effect of Termination

Upon termination:

  • Your right to access and use the Services will immediately cease
  • We may delete your account and User Content after a reasonable retention period
  • Provisions of these Terms that by their nature should survive will remain in effect

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of:

  • For users in the European Union: The laws of Ireland, in compliance with GDPR
  • For users in India: The laws of India
  • For users in the United States: The laws of the State of Delaware, USA
  • For users in other jurisdictions: The laws of Delaware, USA

12.2 Arbitration (US Users Only)

For users in the United States, any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association’s Commercial Arbitration Rules, except where prohibited by law.

You and AAI Solutions agree to waive the right to a jury trial or to participate in a class action.

12.3 EU Users

Users in the European Union have the right to bring proceedings in the courts of their member state of residence.

12.4 Indian Users

Users in India may bring proceedings in the courts of [Your Indian Jurisdiction] or the courts having jurisdiction over your place of residence.

13. International Use and Export Compliance

The Services are controlled and operated from the United States. We make no representation that the Services are appropriate or available for use in all locations.

You agree to comply with all applicable export and import laws and regulations, including US Export Administration Regulations and sanctions programs.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AAI Solutions regarding the Services.

14.2 Modifications to Terms

We may modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on our website
  • Sending notice to your registered email address
  • Displaying an in-app notification

Your continued use after the effective date constitutes acceptance of the modified Terms.

14.3 Severability

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

14.5 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to any affiliate or successor without your consent.

These Terms are written in English. Any translations are provided for convenience only. In case of conflicts, the English version prevails.
